PART C — USER TERMS & CONDITIONS

1. Contract Formation; Scope

These User Terms & Conditions (the “User Terms”) govern purchases and use of our paid or free educational products and services, including the Ultimate Insider’s Guide: Home Seller’s Edition (the “Course”) and downloadable products such as the Off-Market Cash Investors Guide, Property Evaluation Toolkit, For Sale By Owner Playbook, Agent Interview Guide, Home Preparation Toolkit, Agent Performance Playbook, Expired Listing Guide, Probate Guide, and Divorce Guide (collectively, the “Materials”). By enrolling in any training course or using any of the Materials provided by EquiOffer LLC d/b/a Get the Best Offer Guaranteed ("GTBOG"), you ("User," or "you") accept these User Terms.

2. License; Access; Annual Maintenance Fee

Upon purchase, GTBOG grants you a personal, limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the Course and accompanying Materials solely for your own personal education and study. Unless otherwise stated on the applicable product page, access to the Course and Materials is provided on a “lifetime” basis, meaning access continues for as long as the Course and its associated product line remain available and supported by GTBOG (the “Lifetime Access Period”). Lifetime access does not refer to your individual lifetime. Lifetime access is expressly contingent upon timely payment of an annual maintenance fee of $9.99 (the “Maintenance Fee”). The Maintenance Fee supports continued hosting, platform access, improvements, updates, and customer support associated with the Course.

GTBOG will provide notice prior to each annual Maintenance Fee charge. Payment is due within thirty (30) days from the stated due date. If the Maintenance Fee is not paid within thirty (30) days, GTBOG may suspend your access to the Course and Materials until the fee is paid. If the Maintenance Fee remains unpaid for sixty (60) days after the due date, GTBOG may terminate your access entirely, without refund, while retaining a record of your purchase for internal and compliance purposes.

Failure to pay the Maintenance Fee, or repeated declined/failed payment attempts, will result in forfeiture of ongoing access, including to all updates, new materials, or platform enhancements released after your lapse in payment.

3. Ownership, Use, and Confidentiality of Course and Training Materials

All training materials, including but not limited to videos, slides, recordings, workbooks, software, digital downloads, and any other related content ("Materials"), are the exclusive property of GTBOG, are considered to be trade secrets of GTBOG, and constitute GTBOG’s exclusive proprietary and confidential information. User acknowledges that User only has the right to access and use the Training Materials for purposes of a GTBOG course, and absolutely no rights, title, or interest in any Training Materials are transferred or assigned to User other than as granted in these Terms and Conditions. User agrees to keep all Training Materials confidential and agrees not to duplicate, distribute, sell, use on your own behalf or on behalf of others to compete with GTBOG, or otherwise exploit these materials commercially or non-commercially for any purpose whatsoever. Any unauthorized use of any part or all of the Training Materials shall result in legal action against you for violation of these User Terms to the fullest extent of applicable law.

4. User Covenants

You, as a GTBOG User, promise to fulfill all obligations of these Terms and Conditions, including but not limited to Paragraph 3 above. You also agree that you will not, without the prior written consent of GTBOG, either directly or indirectly, on User’s own behalf or in the service or on behalf of others:

solicit, divert, or appropriate, or attempt to solicit, divert, or appropriate, to any competing enterprise any customer, client, or other person or entity whose account with the Company was serviced by or under the direction or supervision of a GTBOG employee or contractor; or

solicit, divert, or hire, or attempt to solicit, divert, or hire to any Competing Enterprise any person employed by or under independent contract with the Company, regardless of whether such person is a full-time or a temporary employee or independent contractor of the Company.

4. No Outcome or Earnings Guarantees; Testimonials

Our training is designed to help you pursue better offers, but WE DO NOT GUARANTEE OUTCOMES, including sale prices, timing, buyer interest, multiple offers, or other results. Any case studies or testimonials are illustrative and not typical. They do not guarantee you will achieve the same results.

5. User Responsibilities; Acceptable Use

You agree to: (a) complete prerequisite steps and use reasonable effort; (b) conduct yourself professionally in live sessions or forums; (c) maintain confidentiality of access credentials; (d) comply with these User Terms and applicable laws. You must not: share login credentials; copy, share, or redistribute Materials; create competing products; upload illegal, infringing, or harmful content; or misuse community spaces.

6. Ownership; Confidentiality of Materials

All Materials, including videos, slides, recordings, workbooks, templates, spreadsheets, scripts, checklists, and any updates, are proprietary trade secrets of GTBOG. Your license is limited to personal use during your access term. Any unauthorized use, copying, distribution, resale, public display, or training-use is prohibited and may result in termination and legal action.

7. Recordings; Consent; Opt-Out

Live trainings may be recorded. By participating, you consent to the recording of your voice and any voluntary participation. We may use recordings internally for quality and to provide replays to enrollees. We may request permission to use snippets (voice/likeness/testimonials) in marketing; you may opt out by emailing [email protected] before a live session in which you appear.

8. Community Standards; Moderation

Community areas are a privilege, not a right. We may moderate, remove content, or suspend participants for unprofessional conduct, solicitation, harassment, or rule violations.

9. Payment Terms; Subscriptions; Taxes

You authorize charges to the payment method on file for purchases, subscriptions, and the Maintenance Fee (if you enable auto-renew). You agree to keep billing data current. Prices exclude taxes unless stated. Late or failed payments may result in suspension or late-payment processing by our provider.

10. Refunds; Cancellations; Downloads

We want you to be satisfied with your purchase. If you have not accessed any course module, lesson, or download, you may request a refund within three (3) days of purchase, and we will issue a refund to your original payment method. Once you access any lesson or download any file, all sales are final, and no refunds are available. To request a refund, email [email protected] from the email address associated with your order and include your purchase details. Initiating a chargeback without first giving us a reasonable opportunity to resolve your concern may constitute a breach of these User Terms and may result in suspension or termination of your account.

11. Third-Party Tools; Recommendations

We may reference third-party tools (e.g., valuation sites, calculators, CRMs). No endorsement is implied. You are responsible for licenses and compliance with third-party terms. Availability and pricing may vary.

12. Professional & Brokerage Disclaimers (Courses)

Content is educational and not legal, real estate brokerage, financial, tax, or investment advice. We are not your agent or fiduciary. Always consult licensed professionals and follow applicable laws and MLS/association rules.

13. DMCA; IP Enforcement (Users)

We enforce our IP rights. If you suspect unauthorized distribution of our Materials, contact [email protected]. We respond to DMCA notices as described in Part A §9.

14. Access Suspension; Termination

We may suspend or terminate your access for violations, fraud, safety, or legal reasons. You will not be entitled to a refund for periods of suspension or termination caused by your breach. Provisions intended to survive (e.g., ownership, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution) survive termination.

15. Disclaimer of Warranties

ALL MATERIALS AND SERVICES ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ACCESS WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

16. Limitation of Liability; Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, DATA, OR GOODWILL). OUR AGGREGATE LIABILITY FOR CLAIMS UNDER THESE USER TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC COURSE OR MATERIALS AT ISSUE IN THE 12 MONTHS BEFORE THE EVENT.

17. Indemnification

You agree to indemnify and hold harmless GTBOG and our owners, affiliates, and personnel from claims, damages, costs, and expenses (including attorneys’ fees) arising from your breach of these User Terms or misuse of the Materials.

18. Dispute Resolution; Arbitration; Class Action Waiver

In the event of any dispute arising from or relating to these User Terms or GTBOG services or resources, the parties agree first to attempt in good faith to resolve the dispute through informal negotiation. If the dispute is not resolved within thirty (30) calendar days, the parties agree to submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration proceedings shall be conducted in the State of Georgia. Each party will bear its own arbitration costs, including attorneys’ fees, unless the arbitrator determines otherwise. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.

BY AGREEING TO THESE TERMS, YOU HEREBY WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

Either party may seek injunctive relief in court to protect intellectual property or enforce confidentiality.

19. Force Majeure

Neither Party shall be held liable or responsible to the other Party nor be deemed to have defaulted under or breached these Terms and Conditions for failure or delay in fulfilling or performing any term of the Agreement during the period of time when such failure or delay is caused by or results from causes beyond the reasonable control of a Party, including but not limited to fire, flood, embargo, epidemic or pandemic, war, acts of war (regardless of whether war is formally declared by any governmental body), terrorism, insurrection, riot, civil commotion, strike, lockout or other labor disturbance, failure of public utilities or common carriers, act of God, or any act, omission, or delay in acting by any governmental authority. The affected Party shall notify the other Party of such claimed force majeure circumstance(s) as soon as reasonably practicable.

20. Modification; Updates

GTBOG reserves the right to modify these Terms and Conditions at any time. Any changes to or modifications of these Terms and Conditions will become effective immediately upon the earlier of posting to our website or providing notice to enrolled Users. Continued use of GTBOG materials or participation in GTBOG courses following any modifications constitutes your acceptance of such changes.

21. Assignment

You may not assign your rights without our prior written consent. We may assign.

22. Entire Agreement

These User Terms constitute the entire agreement between you and GTBOG concerning your enrollment in training courses, access to Materials, and use of any related GTBOG services, superseding any prior agreements or understandings.

23. Acknowledgment

You acknowledge that GTBOG is a private, for-profit organization providing training services and resources for a fee and is not an accredited educational institution under state or federal law that grants or otherwise provides educational credits toward any accredited degree program. You reaffirm your acknowledgment of and consent to use of the GTBOG resources and Materials under these User Terms, including but not limited to your acknowledgment and agreement that GTBOG does not guarantee any outcome, sale price, timing, market result, multiple offer scenario, or other real estate performance. Any references to “guarantee,” “results,” or similar language refer solely to (i) the scope of our refund/credit policies described in Part C and (ii) our commitment to provide high-quality training materials. Real-world results depend on many factors we do not control, including market conditions, property characteristics, buyer demand, negotiation, and your own effort.
